All consulting engagements are governed by a separate scope document that outlines the specific deliverables, timeline, and fees for that engagement. These Terms and Conditions apply in addition to any engagement-specific scope document. In the event of a conflict between these terms and a scope document, the scope document shall prevail for that specific engagement.

5. User Responsibilities

When using our website, you agree to provide accurate information in any forms you submit, to use the website only for lawful purposes, and to refrain from any activity that could damage, disable, or impair the website's functionality. When engaging our services, you agree to provide timely access to the information and personnel necessary for us to complete the engagement as scoped.

6. Intellectual Property

All content on our website, including text, graphics, logos, and design elements, is the property of Paracline and is protected by applicable intellectual property laws. Deliverables produced during a consulting engagement become the client's property upon full payment, unless otherwise specified in the scope document. Our methodologies, frameworks, and proprietary tools remain our intellectual property and are licensed to you for use in connection with the engagement only.

7. Payment Terms

Consulting fees are specified in the engagement scope document and are denominated in Hong Kong Dollars (HKD). Payment terms are set out in the scope document and typically require payment before or at the commencement of work. Paracline reserves the right to pause or discontinue work if payment is not received in accordance with the agreed terms.

8. Confidentiality

Both parties agree to maintain the confidentiality of information shared during the course of an engagement. Confidential information includes business data, strategies, financial information, and any materials marked as confidential. Specific confidentiality obligations are formalised through a non-disclosure agreement signed at the commencement of each engagement.

9. Disclaimers

Our consulting services are provided on an advisory basis. While we exercise reasonable care and professional judgement in our work, all recommendations are made based on the information available to us at the time of the engagement. We do not warrant specific business outcomes, and decisions to act on our recommendations remain entirely with the client. Our website and its content are provided "as is" without warranties of any kind.

10. Limitation of Liability

To the maximum extent permitted by law, Paracline's total liability arising from or in connection with any engagement shall not exceed the fees paid for that specific engagement. We shall not be liable for any indirect, incidental, consequential, or special damages, including loss of profits, revenue, or data, arising from the use of our services or website.

11. Termination

Either party may terminate an engagement by providing written notice. Termination terms, including any applicable fees for work completed, are specified in the engagement scope document. We reserve the right to suspend or terminate access to our website without notice if we reasonably believe these terms have been violated.

12. Dispute Resolution

These Terms and Conditions are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any dispute arising from or in connection with these terms or our services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the dispute shall be referred to and resolved by the courts of Hong Kong.

13. General Provisions

These Terms and Conditions, together with any engagement scope documents, constitute the entire agreement between you and Paracline. If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision shall not be considered a waiver of those rights. We may assign our rights and obligations under these terms without restriction.

14. Changes to Terms

We reserve the right to modify these Terms and Conditions at any time. Changes will be posted on this page with an updated effective date.
